Terms of Service

Welcome to Docport (“Docport.ca”, the “Service”), a secure file sharing and collaboration platform operated by J Shah Analytics Group Inc., a federally registered Canadian corporation (“JSA Group”, “we”, “our”, or “us”).

These Terms of Service (“Terms”) govern your access to and use of Docport. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years of age and capable of entering into a binding legal agreement. If you use Docport on behalf of a business or professional organization, you represent that you have authority to bind that entity to these Terms.

You must provide accurate and complete account information and keep your credentials secure. You are responsible for all activity under your account.

• Business Accounts: Organizations with an active paid subscription that can invite clients to projects.
• Client Accounts: Users invited by a business to access shared project files.

2. Subscriptions and Payments

Business accounts require an annual subscription of $100 CAD/USD, billed through Stripe. Applicable taxes may apply. Subscriptions renew automatically each year unless cancelled prior to renewal.

Payments are processed by Stripe and are subject to Stripe’s Terms of Service and Privacy Policy. Docport does not store full credit card information. All payments are non-refundable except where required by law.

3. Acceptable Use

You agree not to use Docport to:

• Upload, store, or share illegal, defamatory, or infringing content
• Distribute malware or malicious code
• Violate privacy, confidentiality, or professional conduct rules
• Attempt unauthorized access to data or systems

Docport is intended for professional use by regulated users such as accountants, lawyers, and realtors. You are responsible for ensuring compliance with all applicable laws and ethical standards.

4. Ownership and Content Rights

You retain ownership of all files and content (“User Content”) you upload or share. JSA Group does not claim ownership of your content.

By uploading or sharing files, you grant JSA Group a limited, revocable, non-exclusive license to store, process, and transmit your files solely for the purpose of providing the Service.

5. Data Protection and Privacy

Your use of Docport is also governed by our Privacy Policy. Data may be stored in Canada and/or the United States. By using Docport, you consent to cross-border data transfers consistent with applicable law.

Docport uses encryption in transit (TLS) and at rest (AES-256). We comply with the PIPEDA (Canada) and applicable U.S. privacy laws including the CCPA/CPRA.

6. Audit Logging and Activity Records

Docport automatically logs all file-related activity — including uploads, downloads, edits, shares, and deletions — to support accountability and compliance.

Logs are retained for a minimum of seven (7) years and may be accessed by project administrators or disclosed to authorities if required by law.

7. Confidentiality and Professional Use

You are responsible for maintaining the confidentiality of any client or personal information shared through Docport and must comply with applicable professional and ethical standards.

Docport does not provide legal, accounting, or real estate advice. Use of the Service does not create a professional-client relationship between you and JSA Group.

8. Termination

You may close your account at any time. Upon termination, we will delete your User Content within a reasonable period except as required by law. We may suspend or terminate your account if you violate these Terms or for business or security reasons.

9. Intellectual Property of Docport

All software, interfaces, trademarks, and design elements of Docport are the exclusive property of J Shah Analytics Group Inc. You are granted a limited, non-transferable license to use the Service as intended.

10. Disclaimers

The Service is provided “as is” and “as available.” JSA Group makes no warranties, express or implied, regarding reliability, availability, or fitness for a particular purpose.

We are not responsible for third-party services, including hosting providers or payment processors such as Stripe.

11. Limitation of Liability

To the maximum extent permitted by law, J Shah Analytics Group Inc. and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, revenue, or goodwill.

Our total liability shall not exceed the total amount you paid to JSA Group in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless J Shah Analytics Group Inc., its officers, and employees from any claims or expenses arising from your use of Docport, your content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes shall be resolved through good-faith negotiation or, if necessary, binding arbitration in Toronto, Ontario.

14. Changes to These Terms

We may update these Terms from time to time. Updates will be posted at docport.ca/terms. Continued use after updates constitutes acceptance of the new Terms.
